General Terms & Conditions

Friendly Machines

These General Terms & Conditions ("Terms") apply to all services provided by Friendly Machines ("we", "us", "our"), including websites, online ordering systems, hosting, and related digital services. By accessing or using our services, you agree to these Terms.

Depending on how you use the services, you may be acting as:

  • a Restaurant / Business Customer ("Restaurant"), or
  • an End User placing orders through a Restaurant's website or ordering system ("End User").

1. Services

Friendly Machines provides technical services including:

  • Restaurant websites
  • Online ordering systems
  • Hosting and basic maintenance
  • Related digital services as agreed

The exact features and scope depend on the applicable Service Agreement with the Restaurant and may evolve over time.

Friendly Machines does not prepare, sell, deliver, or inspect food.

2. Use of the Service

2.1 General Use

All users agree to:

  • Use the services lawfully and in good faith
  • Provide accurate and up-to-date information
  • Not misuse, abuse, or attempt to disrupt the services

2.2 Restaurants

Restaurants are responsible for:

  • Menu content, pricing, availability, and order acceptance
  • Food preparation, quality, hygiene, and safety
  • Order fulfillment, delivery, and customer communication
  • Compliance with applicable food, tax, and consumer laws

2.3 End Users

End Users are responsible for:

  • Providing accurate order and contact details
  • Reviewing orders before submission
  • Resolving food quality, delivery, or refund issues directly with the Restaurant

Friendly Machines is not a party to the food sale contract between the End User and the Restaurant.

3. Fees and Billing (Restaurants Only)

Fees, usage limits, and pricing tiers are defined in the applicable Service Agreement between Friendly Machines and the Restaurant.

Unless explicitly stated otherwise:

  • Fees may include setup fees and recurring service fees
  • Prices are exclusive of VAT or other applicable taxes

Invoices are issued once Friendly Machines is legally able to invoice under Vietnamese law and may cover prior service periods during which services were already provided.

4. Pre-Launch or Pilot Phases (Restaurants Only)

During any pre-launch or pilot phase:

  • Services are provided on a best-effort basis
  • Billing may be delayed
  • Fees may still accrue from the agreed service start date

5. Availability and Maintenance

We aim to provide reliable services but do not guarantee uninterrupted availability.

We may perform maintenance, updates, or changes that temporarily affect availability.

Friendly Machines is not liable for loss or damage resulting from:

  • Service downtime or maintenance
  • Technical failures
  • Third-party service outages
  • Force majeure events

6. Orders, Data, and Misuse

Friendly Machines provides technical tools for submitting and managing orders.

We are not responsible for:

  • Fake, fraudulent, or test orders
  • Orders submitted with incorrect or misleading information
  • Malicious or abusive use of the system by third parties

Restaurants are responsible for verifying and handling orders.

End Users are responsible for reviewing orders before submission.

Personal data is processed in accordance with our Privacy Policy.

7. Intellectual Property

All software, systems, designs, and underlying technology provided by Friendly Machines remain our intellectual property unless otherwise agreed in writing.

Restaurants are granted a limited, non-exclusive, non-transferable right to use the services for the duration of their agreement.

End Users are granted a limited right to use the ordering interface for personal, non-commercial purposes.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Friendly Machines is not liable for indirect or consequential damages
  • We are not responsible for food quality, delivery issues, refunds, or disputes between Restaurants and End Users

For Restaurants, our total liability is limited to the fees paid in the three (3) months preceding the claim.

For End Users, Friendly Machines provides the service "as is" and bears no liability arising from restaurant performance.

9. Termination

Restaurants may terminate their services as set out in their Service Agreement.

End Users may stop using the services at any time.

Upon termination:

  • Access to the services may be suspended or terminated
  • Outstanding fees (if any) remain payable

10. Changes to the Terms

We may update these Terms from time to time. Updated versions will be made available through our services.

Continued use of the services constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Vietnam.
